1. Acceptance of Agreement and Scope
These Terms of Service (the "Agreement") constitute a legal agreement between you and Mozen ("Mozen," "we," "us," or "the Service") governing your access to and use of the Mozen website, web application, desktop or mobile applications, unified workspace, AI features, whiteboard, documents, reader, resource library, import and export, payment, subscription, customer support, and related services.
By registering, logging in, accessing, purchasing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement, the Privacy Policy, any applicable supplemental terms, payment terms, and the rules we publish within the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept this Agreement on behalf of that organization.
Mozen is currently provided by an individual independent operator under the name Mozen. Unless we subsequently publish otherwise, Mozen is not the name of a registered company or a separate legal entity. For the personal safety and privacy of the operator, the operator's residential address is not displayed on public pages; legal notices, dispute negotiations, or requests for formal service-of-process information may be sent to legal@mozen.ai. We will provide the service information legally required after completing the necessary identity verification. Checkout, taxes, receipts, payment disputes, and refund processing are governed by the Paddle checkout page, Paddle receipts, the Paddle Buyer Terms, and applicable consumer protection laws.
2. Description of the Service
Mozen is a unified knowledge workspace foundation, not a single note-taking or whiteboard product. The Service may include:
- Notes, documents, database tables, reader, e-books, annotations, resource library, tasks, schedules, habits, goals, import and export, knowledge graph, and a multi-view workspace.
- Canvas whiteboard, frames, cards, connectors, presentations, image processing, collaborative editing, offline caching, real-time synchronization, and Y.Doc data persistence.
- AI conversation, Agent tasks, Skills, structured generation, search, summarization, translation, typesetting, image/audio/video/font generation, speech transcription, speech synthesis, model routing, credits, and tool execution.
- Teams, workspaces, sharing, invitations, permissions, administrator console, payment, subscription, customer portal, and support features.
We may from time to time add, modify, restrict, suspend, or terminate certain features. Certain features may be experimental, in Beta, limited in quantity, region-restricted, permission-gated, subscription-gated, or dependent on third-party services.
3. Eligibility, Accounts, and Security
- You must have reached the age at which you are legally permitted to enter into this Agreement in your jurisdiction. Users under 18 years of age or who have not reached the legal age of majority must use the Service under the consent and supervision of a parent or legal guardian.
- You shall provide true, accurate, complete, and current registration, billing, and contact information, and shall update it promptly.
- You are responsible for safeguarding your account, password, login devices, OAuth authorizations, API keys, external storage credentials, and all activity occurring through your account.
- You shall not share, rent, transfer, or sell your account, or permit any unauthorized person to use your account.
- If you discover account theft, unauthorized access, abnormal charges, data breaches, or security risks, you should immediately contact support@mozen.ai.
- We may restrict, suspend, or terminate account access for reasons of security, compliance, risk control, payment failure, abuse, or violation of this Agreement.
4. Workspaces, Organizations, and Permissions
- Content you create in personal or team workspaces is subject to that workspace's permissions, sharing settings, and administrator configurations.
- Organization administrators may manage members, permissions, sharing scope, AI settings, payments, audit logs, data export, deletion policies, and security configurations.
- If you register using an organization email or join an organization workspace, that organization may own or control the content and account access associated with that workspace.
- You are responsible for confirming that sharing links, public pages, exported files, third-party publications, and collaborator permissions comply with your confidentiality obligations and applicable law.
5. User Content and Intellectual Property
- Your Ownership: Except as otherwise provided in this Agreement, you retain the rights to the User Content you submit, upload, import, create, or generate.
- License Necessary for the Service: You grant us a worldwide, non-exclusive, sublicensable (to our service providers), royalty-free, limited license to host, store, synchronize, back up, convert, index, display, transmit, export, process, troubleshoot, conduct security review, and otherwise provide, maintain, protect, and improve the Service.
- Public Content: If you choose to publicly share, publish, or send content to third parties, you authorize us to display, transmit, or provide access to it in accordance with your settings, and you understand that others may copy, save, or further disseminate it.
- Your Responsibility: You represent and warrant that you own or have obtained the rights, licenses, consents, and authorizations necessary to upload, process, share, publish, generate, and use the relevant content.
- Handling of Infringement: We respect intellectual property rights. Upon receiving a reasonable complaint of infringement, or of violations of likeness rights, privacy rights, or other rights, we may remove content, restrict sharing, suspend accounts, or take other necessary measures.
- Mozen's Rights: The software, interfaces, design, trademarks, logos, model routing, system prompts, tool protocols, documentation, templates, non-User Content, and underlying technology of the Service are owned by Mozen or its licensors. Except as expressly permitted in this Agreement, you may not copy, reverse-engineer, sell, rent, sublicense, or circumvent access controls.
- Feedback: Suggestions, feedback, or improvement ideas you submit to us may be used by us without restriction to develop, improve, and commercialize the Service, but we will not thereby acquire ownership of your User Content.
6. Specific Terms for AI Features
Mozen AI relies on model providers, AI gateways, and tool systems configured by us, by administrators, or as authorized by you. By using AI features, you understand and agree to the following terms:
- Input and Output: The prompts, reference materials, selected content, and context you submit constitute "input"; the content returned by AI or generated through tools constitutes "output." Provided that you comply with this Agreement and applicable law, we do not claim ownership of your input and output.
- Non-exclusivity: Due to the nature of machine learning systems, different users may obtain identical or similar output, and Mozen does not warrant that any output is exclusive, unique, registrable, or non-infringing.
- Accuracy Limitations: AI output may be inaccurate, incomplete, outdated, offensive, biased, unusable, without legal effect, or hallucinated. You must review, verify, and decide for yourself whether to use the output.
- Not Professional Advice: AI output does not constitute legal, medical, financial, tax, investment, psychological, career, academic, or other professional advice. For high-risk matters, you should consult a qualified professional.
- Third-Party Models: AI features may invoke third-party LLM, image, audio, video, transcription, embedding, search, and safety-filtering services. You must also comply with the Acceptable Use Policies, content policies, and data processing terms of those service providers.
- Data Authorization: Before using AI features that require transmitting User Content externally, the system will request AI data authorization. After you withdraw authorization, the relevant AI features may become unavailable.
- Training Restrictions: Under standard integration paths, we will not use your User Content to train Mozen's general-purpose models, and we will require model providers not to use User Content sent through the API to train their general-purpose foundation models; if you use your own keys or external accounts, your agreement and settings with the third party will govern.
- Sensitive Data: Unless permitted by law and with the necessary consents obtained, you shall not process through AI features any highly sensitive personal information, regulated data, undisclosed trade secrets, confidential information, children's data, health data, financial accounts, identity credentials, or any data you are not authorized to process.
- Real Persons' Likeness and Voice: Before generating, editing, imitating, or publishing content involving a real person's likeness, voice, name, identity, signature, privacy, or identifiable characteristics, you must obtain explicit authorization and comply with applicable law. Creating deepfakes, face swaps, voice impersonations, or misleading content without consent is prohibited.
- Meetings, Recordings, and Transcription: When using recording, transcription, meeting summary, or voice-related features, you are responsible for making adequate disclosure to all relevant participants and obtaining the consent required by applicable law, particularly for cross-jurisdictional meetings and all-party-consent jurisdictions.
- Model Competition Restrictions: Without our written consent, you shall not use the Service or its output to train, distill, benchmark, scrape, or build foundation models, large-scale models, datasets, or model-routing systems in bulk that compete with Mozen or its model providers.
7. Third-Party Services, Import/Export, and External Storage
- You may choose to connect third-party login, payment, AI, storage, import, publishing, library, or WebDAV services. Third-party services are controlled by their respective providers and are subject to their own terms and privacy policies.
- You authorize us to store, refresh, invoke, or revoke third-party credentials to the extent necessary to complete the import, export, synchronization, backup, or publishing you request.
- You confirm that the content you import, upload, parse, transcribe, download, back up, or publish does not infringe third-party rights, does not violate third-party platform terms, and does not contain data you are not authorized to process.
- Third-party service failures, restrictions, bans, rate limits, data loss, policy changes, or unavailability may affect Mozen's functionality. Except as otherwise provided by law, we are not liable for third-party services.
8. Fees, Subscriptions, Cancellation, and Refunds
- Paid Services: Certain plans, AI credits, storage, export, teams, administrator features, Skills, or premium model capabilities are paid services. Prices, benefits, restrictions, trial periods, credits, and feature descriptions are governed by the checkout page, plan page, backend configuration, or order confirmation.
- Payment Processing: Paddle currently acts as the Merchant of Record / authorized reseller to process Mozen's online payments, subscriptions, renewals, taxes, customer portal, receipts, and refunds. Paddle establishes a payment-related legal relationship directly with you and may send you receipts, renewal reminders, cancellation confirmations, or refund notices.
- Automatic Renewal: Subscriptions typically renew automatically at the end of each cycle unless you cancel before the end of the current billing cycle through Mozen account settings, the Paddle customer portal, a receipt link, or customer service channels.
- Trial: The current subscription standard is a 7-day free trial, which requires linking a credit card. During the trial period, you may use core workspace features; certain features, such as AI conversation, may only become available after a paid subscription, as specified by the checkout page and plan description. After the trial ends, it will automatically convert to a paid subscription and a charge will be made; you should cancel before the trial ends to avoid being charged.
- Cancellation: Cancellation of a subscription typically takes effect at the end of the current billing cycle. After cancellation, you may continue to use the benefits within the paid cycle, but it will no longer renew automatically.
- Refunds: Refunds are handled in accordance with the Paddle Buyer Terms, the Paddle refund policy, checkout-page disclosures, applicable consumer protection laws, and this Agreement. Except as mandatorily required by law, approved by Paddle, or expressly agreed by us, AI credits that have been consumed or that have triggered model-invocation costs, digital services that have been delivered and actually used, and digital content that has been generated or downloaded are in principle non-refundable; for orders of unused credit packs, you may apply for a refund subject to review in accordance with Paddle policy and applicable law.
- Statutory Rights by Region: The laws of certain regions may grant consumers a right of withdrawal, a cooling-off period, or a right to a refund for defects. This Agreement does not limit any rights you have under law that cannot be waived.
- Price Changes: We may adjust prices, plans, credit multipliers, or benefits. For material price changes to existing subscriptions, we will provide advance notice as required by applicable law or the payment service provider.
- Payment Failures and Disputes: In the event of payment failure, chargeback, suspected fraud, refund abuse, or violation of payment network rules, we or Paddle may suspend, cancel, or restrict paid benefits. Before initiating a chargeback, we recommend that you first contact Paddle or billing@mozen.ai to resolve the matter.
- Taxes: Prices may be exclusive or inclusive of VAT, GST, sales tax, or similar taxes, as specified by the checkout page and receipt.
- Refund policy and withdrawal rights: the full details of refunds, cancellation, automatic renewal, AI credit pack rules, and the EU/UK 14-day statutory right of withdrawal are set out in the Refund, Cancellation & Auto-Renewal disclosure; in case of any inconsistency with this section, the objective thresholds of that dedicated disclosure prevail.
9. Acceptable Use Policy
You shall not, directly or indirectly, use the Service to engage in any of the following:
- Violate any applicable laws, regulations, sanctions, export controls, payment network rules, or third-party platform terms.
- Infringe copyrights, trademarks, patents, trade secrets, privacy, rights of publicity, likeness rights, reputation rights, database rights, or other rights.
- Upload, generate, share, or publish content involving child sexual exploitation, sexual abuse, sexually explicit adult content, non-consensual sexual content, terrorism, extremism, hate, harassment, threats, incitement to violence, encouragement of self-harm, fraud, scams, phishing, malware, or content that circumvents security measures.
- Generate or disseminate, without consent, deepfakes, face swaps, voice impersonations, real persons' likenesses, or misleading content depicting identifiable individuals.
- Use Mozen for high-impact automated decision-making such as medical diagnosis, legal representation, financial investment advice, credit decisions, insurance underwriting, employment hiring, education admissions, housing, law enforcement, immigration, or social welfare, unless you have obtained all necessary permits and the matter is reviewed by qualified personnel.
- Engage in academic cheating, ghostwriting papers, exam cheating, falsification of certificates or qualifications, or misleading others into believing that AI-generated content was created entirely by humans.
- Send spam in bulk, conduct non-consensual marketing, inflate metrics, inflate likes, perform automated social media interactions, scrape, crawl websites, conduct credential stuffing, brute-force attacks, DDoS, circumvent rate limits, or abuse free-trial/refund mechanisms.
- Attempt to obtain other persons' accounts, workspaces, APIs, models, keys, logs, system prompts, internal configurations, or unauthorized data.
- Reverse-engineer, copy, sell, sublease, sublicense, evade payment, circumvent watermarks/security policies, or build a substitute commercial service.
- Process sensitive personal information, trade secrets, regulated data, or third-party confidential data that you are not authorized to process.
- Use the Service in a manner that may harm the reputation, system security, or legal compliance of Mozen, users, payment service providers, model providers, infrastructure, or third parties.
10. Data, Backup, and Service Continuity
- Mozen helps preserve content through Y.Doc, IndexedDB, databases, object storage, real-time synchronization, and backup mechanisms, but no online service can guarantee that data corruption, conflicts, latency, loss, or unavailability will absolutely never occur.
- You should regularly export and back up important data, and verify the results for yourself before using AI, importing, bulk modifying, deleting, externally synchronizing, or publicly sharing.
- Offline editing, cross-device synchronization, collaboration conflicts, third-party service failures, browser cache clearing, device damage, or network anomalies may cause content to display with delay or to require recovery.
- We will endeavor to maintain service reliability, but do not promise that the Service will never be interrupted, will be error-free, bug-free, latency-free, or suitable for all business continuity needs.
11. Privacy
We process personal information in accordance with the Privacy Policy. The Privacy Policy is an integral part of this Agreement. When you use AI, payment, import, export, external storage, or publishing features that require third-party processing, your data may also be subject to the terms of the relevant third parties.
12. Suspension, Termination, and Account Deletion
- You may stop using the Service, or apply to delete your account under "Settings → Privacy and Data." After submitting a deletion request, a cooling-off period of typically 14 days will commence, during which you may withdraw the request.
- Where an active subscription exists, you must first cancel the subscription before applying for deletion. Where there are paid orders, unresolved disputes, tax and accounting matters, risk control, or legal retention obligations, account deletion may be delayed, blocked, or changed to anonymization.
- If you violate this Agreement, the law, payment rules, or third-party policies, or if we reasonably believe that your use would create security, compliance, reputational, payment, infringement, or system risks, we may restrict, suspend, or terminate your access, delete or block the relevant content, and reserve the right to take legal measures.
- Termination does not affect payment obligations, indemnification obligations, limitations of liability, intellectual property, dispute resolution, compliance retention, and other provisions that by their nature should continue in effect, that arose prior to termination.
13. Disclaimers
- To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without any express, implied, or statutory warranties, including merchantability, fitness for a particular purpose, accuracy, non-infringement, continuous availability, security or error-freeness, or meeting your particular needs.
- We do not warrant that AI output, search results, import parsing, transcription, translation, typesetting, image generation, OCR, external links, third-party content, or User Content is accurate, complete, current, lawful, commercially usable, or non-infringing.
- We are not liable for problems arising from third-party services, models, payments, storage, browsers, networks, devices, plugins, extensions, cloud services, or user self-configuration.
14. Limitation of Liability
To the maximum extent permitted by law, Mozen and its affiliates, employees, contractors, service providers, and licensors shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, loss of revenue, loss of goodwill, business interruption, data loss, content corruption, cost of substitute services, or third-party claims.
To the maximum extent permitted by law, our aggregate total liability to you in connection with the Service shall not exceed the amount you actually paid to Mozen or the payment service provider and attributable to Mozen services during the 12 months preceding the event giving rise to liability; if you have not paid any fees, it shall not exceed USD 50 or the minimum amount permitted by applicable law. The laws of certain regions do not permit the exclusion or limitation of certain liabilities, and this clause applies only to the extent permitted.
15. Indemnification
You agree, to the extent permitted by law, to indemnify, defend, and hold harmless Mozen and its affiliates, employees, contractors, service providers, and licensors from and against any claims, losses, liabilities, fines, costs, and reasonable attorneys' fees arising out of your violation of this Agreement, your unlawful use of the Service, your User Content, your AI input/output, infringement of third-party rights, connection to third-party services, payment disputes, unauthorized processing of data, or activities under your account.
16. Changes, Notices, and Assignment
- We may update this Agreement. For material changes, we will notify you through in-app notifications, email, website announcements, or checkout-page prompts. Your continued use of the Service indicates your acceptance of the updated Agreement, except where applicable law requires separate consent.
- We may send you legal, payment, and service notices through your account email, in-app notifications, official website announcements, customer service tickets, billing/receipts, or notices from the payment service provider.
- You may not assign this Agreement or your account interests without our written consent. We may assign this Agreement in connection with a merger, reorganization, financing, asset sale, or legal requirement.
17. Governing Law and Dispute Resolution
Except as otherwise provided by the Paddle Buyer Terms, the checkout page, mandatory consumer protection laws, or other non-excludable rules, this Agreement shall be interpreted in accordance with the applicable laws of the place of actual residence or principal place of operation of Mozen's individual independent operator. In any event, this Agreement does not limit the non-waivable rights that consumers enjoy under the laws of their place of residence.
In the event of a dispute, you agree to first seek an amicable resolution with us through legal@mozen.ai or support@mozen.ai. If you require formal service-of-process information, please state the basis of your request in your email and complete the necessary identity verification; if the matter cannot be resolved, the parties may proceed in accordance with applicable law.
Data residency is not governing law: the Service's primary database is located in Singapore (see the Privacy Policy), but the location of data storage does not itself determine the governing law of this Agreement or your consumer rights.
No mandatory arbitration; no class-action waiver: this Agreement does not contain a mandatory arbitration clause and does not require you to waive your right to participate in class actions; you always retain the right to seek remedies before the courts or regulators under the laws of your place of residence. EU consumers may also use the EU Online Dispute Resolution (ODR) platform. Information on the contracting party, the operating entity, and designated representatives is set out on the Legal Notice / Imprint page.
